These Terms and Conditions (“Terms”) govern the use of all services provided by Chiromo Creations Ltd (“we,” “us,” or “our”), including services offered under our trading name Excel M8 and any other current or future sub-brands or subsidiaries.

These services include, but are not limited to, online courses, digital products, live or in-person training, and consultancy work. Delivery may occur via our websites, online learning platform, Notion-based sites, or through direct client engagements.

For the purposes of these Terms, all references to Chiromo Creations Ltd shall be understood to include its trading names and affiliated brands, including Excel M8.

Agreement Scope & Definitions

Acceptance of Terms

By purchasing, accessing, or using any of our services, you (“you,” “user,” or “client”) agree to comply with and be legally bound by these Terms.

Entire Agreement

These Terms, together with any signed agreement, invoice, or proposal, constitute the entire agreement between you and Chiromo Creations Ltd and supersede all prior discussions, communications, or understandings regarding your use of our services.

Glossary of Key Terms

• Chiromo Creations Ltd: The legal entity governing these Terms. It owns and operates Excel M8, and includes all current and future sub-brands, subsidiaries, and trading names under its control.
• Client / User / You: Any individual or organisation accessing or purchasing from Chiromo Creations Ltd.
• Individual Clients: Individuals purchasing services for their own personal or professional use.
• Corporate Clients: Organisations purchasing team training or consulting services.
• Content: All digital and live-delivered training materials from Excel M8.
• Online Learning Platform: The third-party course hosting platform used for delivery.
• Agreement: Any signed invoice, proposal, or formal engagement between us and the client.
• IP: Intellectual Property owned and controlled by Chiromo Creations Ltd.
• Digital Products: Courses, templates, and tools delivered electronically.

Service & Access

Course Access & Usage Rules

All digital products and services — including but not limited to courses, templates, tools, toolkits, and downloads — are licensed for limited use only and remain the intellectual property of Chiromo Creations Ltd.

• Each license is assigned to a specific named user and is strictly non-transferable.
• Sharing, sub-licensing, or redistributing content or login credentials is strictly prohibited.
• Use is limited to personal or internal organisational purposes only. You may not copy, modify, resell, distribute, or create derivative works without prior written consent.
• A breach of these terms may result in immediate termination of access without refund.
• Access to digital products and services is valid for 12 months from the date of enrolment or purchase, unless otherwise specified in a signed agreement. For corporate clients, any custom access terms outlined in your contract will override this default.

Payment Terms

• Payments are processed via third-party providers or invoicing, as outlined during checkout or in your agreement.
• All digital product sales are final and non-refundable.
• For Business clients, payment terms, including deposit requirements and milestones, will be outlined in your invoice or agreement. A non-refundable deposit is typically required to secure delivery dates.
• Access to products and services will only be granted once either full payment or the agreed initial deposit has been received, in accordance with the payment terms outlined in your agreement.
• For approved payment plans or instalments, failure to complete payments may result in revoked access to services or digital content until the account is brought current.
• Late payments on invoices may incur a 5% monthly fee and could lead to service suspension or collections processes.
• All prices exclude VAT unless stated otherwise. Clients are responsible for providing accurate billing information, including VAT numbers where applicable.

Refunds & Cancellations

• Digital Products (Individual Clients and Corporate Clients): All sales of digital products — including online courses, templates, and downloadable content — are final and non-refundable.
• Live or In-Person Training: A non-refundable deposit is required to confirm booking. Cancellations made more than 14 days before the scheduled session may be eligible for a partial refund of the remaining balance or one complimentary reschedule. Cancellations made within 7–14 days may incur a rebooking fee of up to 25%. Cancellations within 7 days are non-refundable and may not be eligible for rescheduling.
• Custom Corporate Client Services: Deposits paid for these services are non-refundable. Any further cancellation terms, including whether partial refunds or credits apply, will be governed by your signed agreement.
• Rescheduling: If you need to reschedule a live training session, we allow one reschedule within 60 days of the original date, subject to availability. Additional rescheduling requests may incur a fee or be declined.
• Cancellation by Us: We reserve the right to cancel or reschedule any service due to unforeseen circumstances (e.g. illness, travel disruption, force majeure). In such cases, we will offer alternative dates or a refund at our discretion.
• Access Revocation Due to Breach or Non-Payment: If access is revoked due to violation of these Terms or non-payment, no refunds will be provided.

Platform & Service Disruptions

Access is provided through our online learning platform, which may be hosted via third-party providers.

We are not liable for any delays, failures, or service disruptions caused by events beyond our control. This includes but is not limited to: natural disasters, illness, travel disruption, platform outages, video playback errors, internet failures, government restrictions, or scheduled maintenance by third-party providers.

While we aim for uninterrupted access to our digital services, temporary outages may occur due to maintenance or unforeseen technical issues. In such cases, we will make reasonable efforts to restore access promptly but are not responsible for any resulting loss or inconvenience.

Intellectual Property & Usage Rights

Intellectual Property Rights

All materials provided — including but not limited to training videos, slide decks, templates, assessments, branding elements, documents, and live session content — are the intellectual property of Chiromo Creations Ltd and are protected by applicable copyright and intellectual property laws.

You may not:

• Copy, reproduce, or distribute any content without prior written consent
• Modify, adapt, translate, or create derivative works
• Use our materials to deliver training or consultancy services without a valid enterprise license or express permission
• Present our content as your own or remove proprietary markings

All rights not expressly granted remain reserved.

Resale & Redistribution

Our content and services may not be resold, sub-licensed, or redistributed.

Branding & Attribution

We encourage clients to share that they’ve worked with us or completed our training — and you're welcome to mention Excel M8, use our logo, or credit the course in your internal or external communications. However, you must always ensure proper attribution is made, and you may not present our content, designs, documents, or visuals as your own.

Use of our logo or brand assets must not imply co-creation, ownership, or authorship of materials unless explicitly agreed in writing. White-labelling, rebranding, or embedding our content into your own offerings without permission is strictly prohibited.

Marketing & Testimonials

By working with us, you grant permission for us to list you (or your organisation) as a client in our marketing materials. This may include use of your name, logo, testimonial, and anonymised results across our website, proposals, presentations, and promotional content. You may opt out at any time by contacting [email protected].

Client Behaviour

User Conduct

Users must not engage in abusive, harassing, or disruptive behaviour in forums, training sessions, or communication channels.

We reserve the right to suspend or terminate access without refund in cases of misconduct.

Client Responsibilities (Corporate Clients Only)

Clients must provide timely access to tools, stakeholders, and information necessary for delivering agreed work. Delays caused by the client may impact agreed timelines.

Fair Usage & Support Boundaries

Support is limited to the scope of the purchased product or service.

Excessive support requests outside the scope of the agreed service (including communication via email, Slack, or WhatsApp) may be declined or incur additional charges.

Legal Protections & Enforcement

Disclaimers & Limitation of Liability

Our services are intended for educational purposes only. While we strive to provide high-quality and actionable content:

• We do not guarantee any specific results or outcomes
• We are not liable for indirect or consequential loss, including lost revenue or data
• Our total liability shall not exceed the amount paid by you for the relevant service.

Independent Contractor Status

We operate as an independent contractor. Nothing in these Terms creates an employment, partnership, or joint venture relationship.

Termination

We reserve the right to revoke access to any services without notice if you breach these Terms. Termination does not relieve you of any financial obligations incurred prior.

Modifications to Terms

We may update these Terms at any time. Continued use of our services following any updates constitutes your acceptance of the revised Terms.

Governing Law

These Terms are governed by the laws of England and Wales. All disputes shall be subject to the exclusive jurisdiction of those courts.

General Provisions

Sales & Pricing Policy

We reserve the right to adjust pricing and promotional offers at any time. Prices at the time of purchase are final.

Affiliate Disclosure

We may use affiliate links in our content and may earn a commission at no additional cost to you.
